The meeting will be at the company's corporate headquarters located at 500 North Field Drive, Lake Forest, Illinois. Holders of common stock of record at the close of business on March 14, 2006 will be entitled to vote at the meeting or by proxy on the items of business as set forth in the proxy statement dated March 27, 2006.

In addition to the formal business matters, Mark P. Frissora, Tenneco's chairman, CEO and president, will review financial results and achievements for the year ended December 31, 2005. He will also address the company's strategic priorities for the remainder of 2006.
